Sublime AI — Terms & Conditions

These Terms & Conditions ("Terms") govern the services provided by Sublime AI, Inc. ("Sublime AI," "we," "us," or "our") to you or the business you represent ("you" or "Client"). By engaging our services, signing an order form or proposal, or making a payment, you agree to these Terms.

1. Our services

Sublime AI is a done-for-you agency. We design, build, deploy, and maintain custom AI voice agents ("Voice Agents") and related automations — which may include appointment booking, review automation, and email automation — as described in your order form or proposal. The specific scope, deliverables, and monthly fee for your engagement are set out there and form part of these Terms.

2. Fees and payment

First payment upfront. Your first payment is due in full, in advance, before we begin any setup or build work. We are not obligated to start until that payment is received.
Recurring fees. Unless stated otherwise in your order form, services are billed on a recurring monthly basis, charged in advance for each billing period.
No refunds; no money-back guarantee. All payments are non-refundable. We do not offer a money-back guarantee. Fees already paid (including the upfront payment and any monthly fees) will not be refunded, in whole or in part, including upon cancellation or termination.
Taxes. Fees are exclusive of applicable taxes, which you are responsible for.
Late or failed payment. If a payment is overdue, we may suspend or limit your Voice Agent and other services until the balance is paid. Suspension does not relieve you of payment obligations.

3. Term and termination

Unless your order form states a fixed term, services run month-to-month and renew automatically each billing period. Either party may cancel with at least 30 days' written notice before the next renewal; cancellation takes effect at the end of the then-current paid period. We may suspend or terminate services immediately if you breach these Terms, misuse the services, or fail to pay. As stated above, no fees are refunded on termination.

4. Your responsibilities

Provide accurate, current information about your business (services, hours, pricing, policies) so we can train your Voice Agent.
Use the services only for lawful purposes and in compliance with all applicable laws and regulations.
Call recording and consent. You are responsible for complying with all laws that apply to your calls, including call-recording, wiretapping, and consent laws in the jurisdictions where you and your callers are located, and for providing any notices or obtaining any consents those laws require.
Comply with telemarketing, anti-spam, and communications laws (such as the TCPA and CAN-SPAM) in connection with any outbound calls, texts, or emails enabled through the services.

5. Call recording, transcripts, and improvement

To operate and continuously improve your Voice Agent, calls handled by the services may be recorded and transcribed, and our team may listen to recordings and read transcripts for quality assurance and fine-tuning. How we handle this data is described in our Privacy Policy, which is incorporated into these Terms.

6. Third-party services

The services rely on third-party providers (for example, telephony, calendar, and scheduling platforms such as Cal.com). Your use of those services may be subject to their own terms, and we are not responsible for the availability, accuracy, or actions of third parties.

7. Intellectual property

We retain all rights, title, and interest in our platform, software, models, prompts, configurations, and methods, including any improvements made during your engagement. You retain ownership of your business content and customer data that you provide. We grant you a non-exclusive, non-transferable right to use the Voice Agent we operate for you during the term of your engagement.

8. No guarantee of results

We work hard to make your Voice Agent effective, but we do not guarantee any specific number of calls answered, appointments booked, leads captured, revenue, or other outcomes. AI systems can make mistakes, and results depend on factors outside our control.

9. Disclaimers

The services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or free of inaccuracies.

10. Limitation of liability

To the maximum extent permitted by law, Sublime AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Sublime AI and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the services, your content, or your violation of these Terms or any law — including call-recording or consent requirements.

12. Confidentiality

Each party agrees to protect the other's non-public business information disclosed in connection with the services and to use it only as needed to perform under these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date, and your continued use of the services after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in Travis County, Texas.
